AI Supplemental Terms

1. Scope and Relationship to the Master Terms

These AI Supplemental Terms (these "AI Terms") govern your use of the Sir Vey Butler AI Assistant feature of the Vertex 180 Platform. They are incorporated into and form part of the Vertex 180 Transferee Terms of Use (the "Master Terms"). Capitalized terms not defined here have the meanings given in the Master Terms or the Vertex 180 Privacy Policy. In the event of a conflict between these AI Terms and the Master Terms with respect to the AI Assistant, these AI Terms control to the extent of that conflict.

2. Nature of the AI Assistant

The AI Assistant is a conversational software feature that generates outputs using large-language-model and related machine-learning technologies. The AI Assistant's outputs are produced by software and are not authored, reviewed, or attested to by any human professional unless expressly stated.

3. No Advice; No Reliance

Outputs of the AI Assistant are provided for informational and operational convenience only and do not constitute, and are not a substitute for, legal, tax, immigration, financial, accounting, real-estate, insurance, medical, mental-health, or professional human-resources advice. You should not rely on the AI Assistant's outputs to make any decision that has legal, financial, or significant personal consequences (including immigration filings, visa or work-permit decisions, tax positions, contract terms, real-estate transactions, or healthcare decisions) without independently verifying the information with a qualified human professional. Vertex 180 disclaims any warranty as to the accuracy, completeness, currency, or fitness for purpose of any AI Assistant output.

4. Errors and Hallucinations

You acknowledge that the AI Assistant may produce content that is inaccurate, outdated, internally inconsistent, biased, or fabricated, including content that misstates facts, citations, regulations, or third-party policies. You agree to use independent judgment when acting on any AI Assistant output and to report any apparent error to your relocation coordinator or to support@vertex180.ai.

5. Use of Your Inputs and Outputs

Vertex 180 will not use the content of your inputs to the AI Assistant, the AI Assistant's outputs to you, or your communications captured under Section 6 of the Master Terms to train, fine-tune, evaluate, or improve any general-purpose artificial-intelligence model that is or could be made available outside the Platform. Vertex 180 may, however, (a) use de-identified, aggregated metrics and signals (such as response latency, completion rates, and error frequencies) to monitor and improve the Services; (b) review specific outputs as needed to investigate a security or safety concern, respond to a support request, or enforce the Master Terms or these AI Terms; and (c) instruct its AI vendors to process your inputs and outputs solely on Vertex 180's behalf for the purpose of operating the Services, subject to contractual restrictions consistent with this Section. Any change permitting use of your inputs or outputs for training of generally-available models will require your additional, affirmative opt-in consent.

6. Prohibited Uses of the AI Assistant

The prohibitions in Section 5 of the Master Terms apply in full to your use of the AI Assistant. Without limiting the foregoing, you agree not to use the AI Assistant to (a) seek or obtain advice on circumventing applicable immigration, tax, employment, or sanctions laws; (b) generate content for the purpose of defrauding any government authority, Employer Customer, Supplier, or insurer; (c) generate or disseminate non-consensual intimate imagery, deepfakes of identifiable persons, or content depicting minors in any sexualized context; or (d) extract, replicate, or repurpose the AI Assistant's system prompts, model weights, or training data.

7. Changes to These AI Terms

Vertex 180 may modify these AI Terms in accordance with the change-notice procedure in Section 18 of the Master Terms. Notwithstanding that procedure, no amendment will permit Vertex 180 to use your inputs or outputs to train any artificial-intelligence model that is or could be made available outside the Platform unless you provide affirmative opt-in consent.

8. Governing Law

These AI Terms are governed by the same law and venue as the Master Terms (Florida law; Hillsborough County, Florida or the U.S. Middle District of Florida (Tampa Division)).
